演讲题目：管理层权力与异常高管薪酬行为研究

　　内容简介：This lecture examines the association between managerial power and excessive executive compensation in PRC firms using 8,245 firm-year observations from 2003-2009. Managerial power is defined as the structural power captured from board features and ownership structure. Employing an industry benchmarked excessive pay proxy, this study finds that CEO duality, board size and ownership dispersion have significant positive associations with the probability of overpaying the executives. The presence of a large outside shareholder is negatively associated with the likelihood of excessive executive compensation. Results from this lecture have important implications for various stakeholders. For example, the PRC authorities need to further strengthen the corporate governance and constrain the power of management over the pay-setting process. More institutional investors could be encouraged to enter the PRC market. In addition, PRC authorities could consider publicising firms with excessive compensation and impose closer monitoring techniques.

　　管理学（会计学）博士。1993年6月毕业于华中农业大学，获经济学学士学位；1993年9月考入原中南财经大学，攻读硕士研究生，1996年7月，获经济学硕士学位，同年留校任教；2004年6月，博士研究生毕业于中南财经政法大学。2004-2006年在厦门大学工商管理博士后流动站做博士后研究。先后任会计系副主任、主任、会计学院硕士研究生导师组会计组组长。中国金融会计学会理事，中国会计学会高级会员。先后出访英国牛津大学、英国剑桥大学、伦敦政治经济学院、英国哥拉斯哥大学、英国利物浦大学、国立西澳洲大学、香港城市大学、香港浸会大学、台湾淡江大学、台湾政治大学、东吴大学、中原大学、云林科技大学等。2009年在澳大利亚科廷科技大学做访问学者。先后参加国际学术研讨会十多次，参加过30多家大型企业集团和机关单位的管理咨询、课题研究或员工培训等工作。
